Privacy Policy

This Privacy Policy explains how Ultimate, Inc. ("Ultimate," "we," "us," or "our") collects, uses, discloses, and protects information when you access or use Yardo (the "Service").

This policy applies to (a) visitors to our websites and marketing pages, and (b) users of the Service, including customer administrators, authorized users, carriers/drivers, and other users invited into a customer's tenant environment.

Important note for B2B SaaS: When a business customer uses Yardo, Ultimate processes certain information on the customer's behalf as a service provider/processor. The business customer controls what is entered into the Service and is responsible for providing notices to, and obtaining permissions from, its users and contacts as required by law.

1 Information We Collect

1.1 Information You Provide to Us

We may collect information you provide directly, including:

Contact information: name, email, phone number, job title.

Messaging information (SMS/10DLC): your mobile phone number, SMS opt-in/opt-out status, consent records (including date/time/source of opt-in where applicable), and message interaction data (e.g., STOP/HELP requests).

Account and organization information: company name, locations, time zone preferences, user roles/permissions.

Operational information: appointment details, carrier details, dock/door configurations, yard/asset records, check-in/out timestamps, and related workflow data.

Communications: messages sent to us (support requests, emails, chat).

Files and documents: documents uploaded to the Service (e.g., BOLs, packing lists, photos).

1.2 Information Collected Automatically

When you visit our websites or use the Service, we may automatically collect:

Device and usage data: IP address, browser type, device identifiers, operating system, pages/screens viewed, timestamps, clickstream data, and feature usage.

Messaging delivery metadata (SMS/10DLC): delivery and routing information associated with text messages (e.g., timestamps, delivery status), which may be provided by or derived in connection with carriers and messaging providers.

Log and security data: authentication events, audit trails, and related telemetry used for security and troubleshooting.

Cookies and similar technologies: as described in Section 6.

1.3 Information from Third Parties

We may receive information from third parties such as:

Identity/auth providers (if enabled by a customer)

Payment processors (for billing administration)

Integration partners (e.g., logistics systems) when connected at a customer's direction

2 How We Use Information

We use information to:

Provide and operate the Service (authentication, scheduling workflows, notifications, document handling)

Maintain security (fraud prevention, account protection, audit logs)

Provide support and respond to inquiries

Process billing and manage subscriptions (where applicable)

Improve the Service (debugging, analytics, performance monitoring, feature development)

Communicate about product updates, security notices, and administrative messages

Comply with law and enforce our agreements

3 Legal Bases for Processing (Where Applicable)

If you are located in a jurisdiction that requires a legal basis (e.g., EEA/UK), we process personal data based on:

Contract necessity (to provide the Service)

Legitimate interests (security, fraud prevention, improving the Service)

Legal obligations (tax, compliance, lawful requests)

Consent (where required, e.g., certain marketing cookies)

4 How We Share Information

We may share information with the parties described below.

We do not sell personal information.

4.1 Service Providers (Subprocessors)

We share information with vendors that help us operate the Service (e.g., hosting, email delivery, analytics, customer support tooling, payments). They may access information only to perform services for us and must protect it.

4.2 Customer Organizations

If you are an Authorized User under a business customer, information you submit in the Service (including operational entries and uploaded documents) may be visible to that customer's administrators and users according to roles/permissions.

4.3 Integrations at Your Direction

If a customer enables integrations, we may share information with those third parties as instructed by the customer.

4.4 Legal and Safety

We may disclose information to comply with law, respond to lawful requests, protect rights and safety, investigate fraud, or enforce agreements.

4.5 Business Transfers

If we are involved in a merger, acquisition, reorganization, or asset sale, information may be transferred as part of that transaction.

4.6 SMS and Text Messaging (10DLC)

If you opt in to receive SMS/text messages from Yardo or from a Yardo customer using Yardo messaging features, the following applies:

No sale or marketing sharing of mobile information. Your mobile information will not be sold or shared with third parties for promotional or marketing purposes.

Opt-in data and consent are protected. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, except as needed to provide the messaging service.

Permitted sharing for delivery only. We may share Personal Data, including your phone number and SMS opt-in/consent status, with third parties that help us provide our messaging services, including but not limited to platform providers, telecommunications carriers/phone companies, and vendors who assist in the delivery, routing, and support of text messages. These parties may use the information only to provide those services.

No unrelated sharing. We will not share your opt-in to an SMS campaign with any third party for purposes unrelated to providing you with the services of that campaign.

We do not sell personal information.

5 Data Retention

We retain information for as long as necessary to:

provide the Service;

comply with legal obligations;

resolve disputes; and

enforce agreements.

Retention periods vary depending on the type of information and customer configuration. Some logs may be retained for security and audit purposes.

6 Cookies and Tracking Technologies

We use cookies and similar technologies to:

enable core functionality (authentication, session management);

remember preferences;

understand usage and performance;

support marketing and analytics (where applicable).

You can control cookies through your browser settings. Disabling cookies may affect functionality.

7 Security

We use reasonable administrative, technical, and organizational safeguards designed to protect information, including access controls and monitoring. No method of transmission or storage is completely secure; therefore, we cannot guarantee absolute security.

8 International Data Transfers

Your information may be processed and stored in countries other than your own. Where required, we rely on appropriate safeguards for international transfers, such as contractual protections.

9 Your Privacy Rights

9.1 General Rights

Depending on your location, you may have rights to:

access personal information;

correct inaccurate information;

delete personal information;

object to or restrict certain processing;

request portability.

9.2 EEA/UK (GDPR) Additional Information

If GDPR applies, you may also have the right to lodge a complaint with your local supervisory authority.

9.3 California (CCPA/CPRA) Additional Information

If you are a California resident, you may have rights to know, access, delete, and correct personal information, and to opt out of certain "sharing" for cross-context behavioral advertising (where applicable). We do not sell personal information.

You may designate an authorized agent to make requests on your behalf, subject to verification.

9.4 How to Exercise Rights

To submit a request, contact privacy@getyardo.com. We may verify your identity and/or your authority to act on behalf of a customer organization.

10 Communications Preferences

10.1 Email

You may opt out of marketing emails by using the unsubscribe link (where provided). Service and administrative messages (e.g., security notices, billing notices) are not marketing and may still be sent.

10.2 SMS/Text Messages (STOP/HELP)

If you receive SMS/text messages from Yardo (or from a Yardo customer using Yardo messaging features), you can opt out at any time by replying STOP. After you opt out, you will no longer receive text messages for that campaign unless you re-opt in. For help, reply HELP or contact us at privacy@getyardo.com (or via the contact information on the opt-in page, if different). Message and data rates may apply.

11 Children's Privacy

The Service is not directed to children under 13, and we do not knowingly collect personal information from children.

12 Third-Party Links

Our websites or Service may include links to third-party sites. This policy does not apply to third-party practices.

13 Changes to This Policy

We may update this Privacy Policy from time to time. Changes become effective when posted. If changes are material, we may provide additional notice.
